Terms of Service - off.clinic

1. Service Nature: "Medical Opinion Only"

The off.clinic platform facilitates access to Secondary Medical Opinions and medical guidance offered by partner doctors.

2. Platform and Doctor Roles

• The Doctor is the sole provider of medical services and is directly responsible for the quality of medical care (malpractice).
• off.clinic (the Platform) acts as a technology intermediary and, for invoicing purposes, as the doctor's authorized billing agent.

The off.clinic platform is owned and operated by EXPAND TECHNOLOGIES SRL (VAT/CUI: RO 28673660, Trade Reg: J35/2921/2015), headquartered at Str. Piatra Craiului 7, Ghiroda, Jud. Timiș, 307200, Romania. Contact email: support@off.clinic.

3. Billing and Payments (Invoicing Mandate)

Prices displayed on off.clinic are expressed in Euro (EUR). For transactions and invoices involving Romanian residents, amounts are calculated and invoiced in Romanian Leu (RON) using the exchange rate communicated by the National Bank of Romania (NBR/BNR) valid on the request or invoice date.

By accepting these terms, the User and the Doctor agree to the following invoicing workflow, in line with Article 319(18) and 319(19) of the Romanian Fiscal Code (Law 227/2015):

a) For Patients (Users)

• You will receive a fiscal invoice for the full amount paid.
• The invoice is issued in the doctor's name by the Platform (issuer/agent).
• By using the service, you consent to third-party invoicing/self-billing workflows handled by the Platform.

b) For Doctors (Partners)

• Mandate: You authorize off.clinic to issue invoices to patients in your name and on your behalf for the medical services delivered.
• Acceptance: Invoices issued by the Platform in your name are considered accepted unless disputed within 5 business days from issuance.
• Commission: For use of the Platform, off.clinic issues a B2B commission invoice, payable through netting from your collected revenues.
• e-Factura: You remain solely responsible for reporting obligations in Romania's RO e-Factura (SPV) system for invoices issued on your personal/company tax identifier. The Platform provides downloadable supporting files (PDF/XML).

4. Response Time (SLA) and Refund Policy

To ensure predictability, each consultation package has an Expected Response Time (SLA / Service Level Agreement). This is the maximum time in which the doctor commits to delivering the medical opinion, calculated in business hours (9:00 AM - 9:00 PM in the doctor's timezone, excluding night hours).

• Automatic Full Refund: If the doctor does not deliver the medical opinion within the agreed SLA, the request expires automatically and the consultation fee is fully and automatically refunded to the original payment method.
• Funds are securely held by the payment processor during processing and are transferred to the doctor only after successful report delivery.

5. Limitations and Disclaimer

a) Not a Medical Device

The off.clinic Platform is a secure communication tool and is not a medical device. It does not automatically interpret medical data, provide automated diagnoses, or monitor patients in real time.

b) Medical Emergencies

The Platform is not intended for emergencies. If your life is in danger, call the emergency number 112 immediately.

c) Doctor-Patient Relationship

The contractual relationship for medical services is formed exclusively between doctor and patient. off.clinic is not a party to that contract and is not responsible for the accuracy, completeness, or quality of medical services delivered by the doctor.

6. Data Processing (GDPR)

For fiscal invoicing, we collect details such as Name, Address, and optionally VAT/Company data. The legal basis is compliance with a legal obligation (Fiscal Code). This data is shared with the Doctor (Provider) only to the extent required for issuing invoices and fiscal reporting.
